These Terms & Conditions (“Agreement”) govern your use of the GuruQore platform (“Platform”) as a Freelancer. By registering on and using the Platform, you agree to comply with and be bound by this Agreement. Please read it carefully.

1. Introduction & Scope

1.1 Purpose:
This Agreement defines the legal relationship between you (“Freelancer,” “you,” or “your”) and GuruQore (“we,” “us,” or “our”). By using our Platform, you acknowledge that you are entering a binding agreement that governs your access, participation, and use of our services.

1.2 Scope:
These Terms apply to all services provided by GuruQore, including, without limitation, the facilitation of freelance marketing services between Clients and Freelancers. They are in addition to any other policies, guidelines, or instructions displayed on the Platform.

2. Definitions

For the purpose of this Agreement, the following terms shall have the meanings set forth below:

• Client: A party that posts a project or orders a service on the Platform.
• Freelancer: An individual or entity offering services through the Platform.
• Services: Any freelance marketing or related services offered or procured via the Platform.
• Bypass/Circumvention: Any action by which a Freelancer or Client attempts to contact or transact outside of the Platform for services initiated on GuruQore.
• Commission: The fee charged on all transactions executed through the Platform.

3. Commission & Payment Terms

3.1 Commission Model:

• All transactions conducted through GuruQore are subject to a 10% commission fee. This fee is automatically deducted from the Freelancer’s earnings as specified in the fee schedule posted on our website.
• The commission percentage may be subject to periodic review and is effective for all transactions unless otherwise stated in writing by GuruQore.

3.2 Payment Process & Payment Policy:

• Payments for completed projects will be cleared either by GuruQore or directly by the Client, depending on the agreement between GuruQore and the Client.
• In cases where the Freelancer is paid directly by the Client, GuruQore will send a payment link to collect the commission from the Freelancer.
• In cases where GuruQore is clearing the payment, a TDS (Tax Deducted at Source) of 2% will be applied as mandated by the IT Department of India.
• In either case, the Freelancer is required to pay a 10% commission on the total value of the project.

4. Non-Circumvention & Exclusivity

4.1 Mandatory Use of the Platform:

• All communications and transactions between Freelancers and Clients must be conducted exclusively through the GuruQore Platform.
• You agree not to share personal contact details or any information that could facilitate off-platform communication or payment for any projects initiated through GuruQore.

4.2 Prohibition on Direct Engagement:

• Any attempt to bypass the Platform—such as directly contacting a Client to negotiate services or receiving payments outside of the Platform—constitutes a breach of this Agreement.
• In the event of a breach, GuruQore reserves the right to suspend or terminate your account and may impose a conversion fee.

4.3 Conversion Fee:

• Should you and a Client mutually agree to move the working relationship off the Platform, you must first complete the formal conversion process on GuruQore and pay a conversion fee equal to 10% of the annual value of the project.

5. Freelancer Obligations & Conduct

5.1 Professionalism and Quality:

• You are expected to provide high-quality services, adhere to project deadlines, and maintain professional communication with Clients.
• You shall comply with all guidelines, including those set forth in any training or orientation materials provided by GuruQore.

5.2 Compliance with Platform Rules:

• You agree to abide by all policies, including those regarding dispute resolution, content standards, and confidentiality.
• Any violation of these rules may result in penalties, account suspension, or termination of your Freelancer privileges.

5.3 Accuracy of Profile Information:

• You must provide truthful and complete information during the registration and profile setup process.
• Any misrepresentation or fraudulent activity may lead to immediate termination of your account and potential legal action.

6. Confidentiality & Data Protection

6.1 Confidential Information:

• Both parties (Freelancer and Client) agree to keep all information exchanged during the course of a project confidential.
• You shall not disclose or use any proprietary or sensitive information obtained via the Platform for any purpose other than fulfilling your project obligations.

6.2 Data Security:

• GuruQore will maintain appropriate security measures to protect your data. In return, you agree to safeguard your login credentials and immediately notify us of any unauthorized access.

7. Intellectual Property & Ownership

7.1 Work Product Ownership:

• Unless otherwise agreed in writing, the intellectual property rights of any work product delivered through the Platform will be transferred to the Client upon full payment.
• Pre-existing intellectual property remains your own, and any third-party materials must be properly licensed and attributed.

7.2 License to Use:

• By submitting work through the Platform, you grant the Client and GuruQore a non-exclusive, worldwide license to use, display, and reproduce the work product solely for the purpose of project execution and dispute resolution.

8. Dispute Resolution & Support

8.1 Dispute Resolution (Arbitration):

• The Parties agree that any dispute between them, which cannot be settled mutually by negotiation, may be resolved exclusively by arbitration. Either party may submit a dispute to arbitration within 30 days of the failure of negotiations.
• Arbitration shall be held in Mumbai, India and conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (or any statutory modification or re-enactment thereof).
• Each party shall appoint one arbitrator, and the two arbitrators shall jointly appoint the third, or the presiding arbitrator.
• The arbitration proceedings shall be conducted in the English language.
• The arbitration award shall be final and binding upon the Parties, and judgment may be entered thereon upon the application of either party to a court of competent jurisdiction.

8.2 Jurisdiction:

• Subject to the arbitration provisions above, the courts of law at Mumbai alone shall have jurisdiction in respect of all matters connected with this Contract.

8.3 Costs:

• Each party shall bear the cost of preparing and presenting its case, and the cost of arbitration, including fees and expenses of the arbitrators, shall be shared equally by the Parties unless the award otherwise provides.

8.4 Support:

• GuruQore provides support channels for addressing technical issues, payment disputes, or policy clarifications. Please contact support via [hello@guruqore.com] for any assistance.

9. Termination of Agreement

9.1 Termination by GuruQore:

• GuruQore may suspend or terminate your account for violations of these Terms & Conditions, including but not limited to circumvention, misrepresentation, or consistent non-compliance with the Platform policies.
• Termination will result in the cessation of access to the Platform and the forfeiture of any pending projects that have not yet been finalized.

9.2 Termination by Freelancer:

• You may terminate your account; however, you remain responsible for any obligations related to active or in-progress projects.
• Termination does not absolve you of the obligation to pay conversion fees or other liabilities incurred prior to termination.

10. Amendments & Governing Law

10.1 Amendments:

• GuruQore reserves the right to amend or update these Terms & Conditions at any time. You will be notified of material changes via email or a prominent notice on the Platform.
• Continued use of the Platform following any changes constitutes your acceptance of the new terms.

10.2 Governing Law & Jurisdiction:

• This Agreement shall be governed by and construed in accordance with the laws of India.
• Subject to the arbitration provisions above, the courts at Mumbai shall have exclusive jurisdiction over all matters connected with this Agreement.

11. Acknowledgment & Acceptance

By clicking “I Accept” or by using the GuruQore Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must not use the Platform.

12. Miscellaneous

12.1 Force Majeure:

• GuruQore shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

12.2 Severability:

• If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Entire Agreement:

This Agreement constitutes the entire understanding between you and GuruQore with respect to the subject matter herein and supersedes all prior communications and proposals.
